Publisher Agreement

This Publisher Agreement (“Agreement”) governs your participation as a publisher on the Cruuvo Marketplace, operated by NW Agentic, LLC, an Oregon limited liability company (“NW Agentic”). By applying to publish, and by listing System templates or Playbooks, you agree to these terms on behalf of yourself and any organization you represent.

Eligibility and approval

Publishing is an approved program. NW Agentic reviews each application and may approve, decline, or revoke publisher access at its discretion. You must provide accurate information and keep your account and contact details current.

Your content and listings

You retain ownership of the System templates, Playbooks, and related content you publish. You grant NW Agentic a non-exclusive, worldwide license to host, display, distribute, and let customers install and run your listings through the Marketplace, and to use your name and listing metadata to operate and promote the Marketplace. You are responsible for having all rights necessary to publish your content.

Quality, support, and compliance

You agree to provide listings that function as described, to offer reasonable support to customers who install them, and to comply with the Marketplace Policy and applicable law. NW Agentic may review, test, label, suspend, or remove listings to protect customers and the integrity of the Marketplace.

Fees and payouts

Payouts for paid listings are processed through our payments provider, which may require you to complete onboarding and identity verification. NW Agentic may charge a marketplace fee on transactions; applicable fees and payout terms are presented before you publish a paid listing. You are responsible for any taxes on your earnings.

Term, suspension, and termination

This Agreement remains in effect while you participate as a publisher. You may stop publishing at any time. NW Agentic may suspend or terminate publisher access for violations of this Agreement or the Marketplace Policy, or to protect customers or the Marketplace. Provisions that by their nature should survive termination will survive.

Disclaimers and limitation of liability

The Marketplace is provided “as is.” To the fullest extent permitted by law, NW Agentic is not liable for indirect, incidental, or consequential damages arising from your participation as a publisher.

Governing law and venue

This Agreement is governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to this Agreement will be brought only in the state or federal courts located in Oregon, and you and NW Agentic consent to the personal jurisdiction of those courts.

Changes and contact
